THE SOUND EDIT

CLIENT TERMS, CREATIVE AUTHORITY AND SERVICE POLICIES

Provided by Vintaj Seventi

These terms apply to all Sound Edit services provided by Vintaj Seventi, including business sound systems, private-event soundtracks, personal playlists, recurring playlist refreshes, and multi-playlist projects.

These terms apply to all three Business Edition offerings: The Atmosphere, The House Edit, and The Architecture Edit.

By completing the applicable client form, affirmatively accepting these terms, and purchasing a service, the client agrees to the following conditions.

1. NATURE OF THE SERVICE

The Sound Edit is a professional music selection, playlist curation, and atmosphere development service.

The client purchases the creative judgment, musical taste, research, sequencing, atmosphere development, and curatorial expertise of Vintaj Seventi.

The Sound Edit does not provide live DJ services, live mixing, on-site entertainment, audio equipment, event production, technical support, music broadcasting, or commercial music licensing.

Unless separately agreed in writing, services do not include live attendance, announcements, guest requests, real-time song changes, speaker installation, or equipment troubleshooting.

The Sound Edit retains final creative authority over song selection, sequencing, pacing, genre balance, artist balance, musical discoveries, and overall musical direction.

2. CLIENT INFORMATION AND CREATIVE DIRECTION

Before curation begins, business clients must complete The Sound Edit Business Client Form.

The form requests the client’s name, email address, telephone number, business name and type, business location, business environment, music preferences, and any additional information voluntarily provided.

Additional information may be requested when reasonably necessary to complete the selected service, including:

Intended audience and atmosphere

Preferred or excluded musical genres

Clean or explicit content preferences

Cultural or professional restrictions

Desired completion date

Business operating hours or musical programming requirements

Specific songs or artists to avoid

The client is responsible for providing accurate, complete, and timely information.

Vintaj Seventi is not responsible for dissatisfaction or delays caused by incomplete information, conflicting instructions, undisclosed restrictions, or material changes to the client’s original direction.

Musical references communicate preferences but do not obligate The Sound Edit to reproduce an exact sound or include specific recordings.

3. CLEAN AND EXPLICIT CONTENT

Clients must communicate any content restrictions before curation begins.

Clean: Music will be selected with the intention of avoiding explicitly labeled recordings and clearly inappropriate lyrical content.

Explicit Permitted: Music containing explicit language or mature themes may be included when appropriate to the requested atmosphere.

Streaming platforms and music distributors control their own content labels. Vintaj Seventi cannot guarantee that every recording labeled clean is entirely free of potentially objectionable language or themes.

Clients are responsible for reviewing completed playlists before use in environments involving employees, customers, minors, or the public.

4. DELIVERY AND TURNAROUND

Work begins after payment has been received and all required client information has been submitted.

Estimated delivery periods are:

Personal Sound Edit: 48 hours

Standard private-event soundtrack: 3–4 business days

Single business soundtrack: 5–7 business days

Expanded or multi-playlist business system: 7–10 business days

Recurring refreshes: According to the purchased service agreement

The specific scope and delivery estimate for The Atmosphere, The House Edit, or The Architecture Edit will be determined by the purchased offering and confirmed project requirements.

Business days exclude weekends and recognized holidays unless otherwise agreed.

Delivery estimates are not guaranteed deadlines unless expressly confirmed in writing.

Incomplete information, changes in scope, delayed responses, platform limitations, or circumstances outside reasonable control may affect delivery.

Rush requests require advance approval and may involve additional fees.

5. DELIVERY AND CLIENT REVIEW

Completed work will be delivered through the platform or method identified in the purchased service.

Clients must review and test the completed music system before public, commercial, or event use.

This includes verifying playlist accessibility, content suitability, playback order, account access, equipment, internet connectivity, and appropriate platform settings.

The Sound Edit is not responsible for playback problems caused by client equipment, accounts, internet connections, streaming platforms, or failure to test the delivered work.

6. REVISION POLICY

Each eligible Sound Edit order includes one consolidated revision round unless otherwise specified in the purchased offering.

The client must submit all revision requests together within three calendar days after delivery.

Revision allowances depend on the purchased service.

For Business Edition services, the applicable song-replacement limits are those stated in the confirmed package description or written agreement.

The included revision permits eligible song removals and replacements within the purchased allowance.

Clients must identify the songs they wish removed and briefly explain their concerns.

Vintaj Seventi retains final creative authority over replacement selections and the resulting playlist structure.

The included revision does not cover:

A completely different atmosphere or concept

Changes to the intended audience

Changes to the primary genre

Additional playlists or programming hours

A complete soundtrack rebuild

New business locations or environments

Substantial changes in musical direction

Unlimited substitutions

Changes requested after the revision period

Additional work may require additional payment.

Once the consolidated revision is completed and delivered, the included revision obligation is fulfilled.

7. SUBJECTIVE NATURE OF MUSIC AND CREATIVE AUTHORITY

Music is subjective.

The Sound Edit may intentionally incorporate familiar songs, unfamiliar recordings, emerging artists, album selections, unexpected discoveries, multiple eras, and different genres.

Unfamiliarity with a recording does not constitute defective service.

The Sound Edit does not guarantee that every customer, employee, guest, or listener will enjoy every selection.

The service does not guarantee increased sales, customer retention, attendance, engagement, or any particular business outcome.

Vintaj Seventi agrees to exercise reasonable professional care and creative judgment in fulfilling the purchased service.

8. CHANGES IN PROJECT SCOPE

The purchased price covers the scope of work identified in the selected offering and confirmed client requirements.

Material changes may require additional fees and revised delivery estimates.

Such changes may include additional playlists, programming hours, business locations, environments, content requirements, or a substantially different musical direction.

Additional work will not begin until the revised scope and any applicable charges are approved.

9. PAYMENT, CANCELLATIONS AND REFUNDS

Payment is required before custom curation begins.

Because The Sound Edit provides customized creative services, payments become nonrefundable once the client submits the completed creative direction information or customized work begins, whichever occurs first, subject to applicable law.

Customized work includes research, music selection, sequencing, playlist development, and related creative preparation.

Cancellation requests received before either event may be considered for a refund, less any properly disclosed and legally permissible fees.

Subjective dissatisfaction, unused playlists, changes of mind, canceled events, business closures, failure to review delivered work, or failure to obtain commercial playback permissions do not independently establish entitlement to a refund.

Nothing in these terms limits any refund or cancellation rights that cannot lawfully be waived.

If Vintaj Seventi cannot fulfill a purchased service, an appropriate refund or other remedy will be provided as required by applicable law.

10. PAYMENT DISPUTES

Clients are encouraged to contact Vintaj Seventi promptly regarding billing or service concerns so that a reasonable resolution can be explored.

In responding to payment disputes, Vintaj Seventi may provide relevant transaction records, accepted terms, client submissions, communications, work records, delivery confirmations, and revision records to the applicable payment processor.

Nothing in this agreement restricts lawful chargeback or consumer protection rights.

11. STREAMING PLATFORMS AND MUSIC AVAILABILITY

Vintaj Seventi does not own or control third-party streaming platforms, music catalogs, recordings, or distribution systems.

Music may become unavailable, restricted, replaced, relabeled, or removed.

The Sound Edit cannot guarantee continuous availability of individual recordings or uninterrupted operation of third-party services.

Clients are responsible for maintaining the accounts and subscriptions necessary for their intended use.

12. COMMERCIAL MUSIC LICENSING AND PLAYBACK RESPONSIBILITY

The Sound Edit provides music curation services only.

Vintaj Seventi does not sell, provide, obtain, administer, or transfer commercial music playback licenses.

The purchase price compensates Vintaj Seventi for its research, creative judgment, music selection, sequencing, and playlist development. It does not purchase ownership of the underlying recordings or compositions.

The purchase of a Sound Edit does not include public-performance rights, commercial streaming rights, broadcasting rights, synchronization rights, reproduction rights, venue licenses, or permissions from copyright owners or streaming providers.

Business clients are solely responsible for determining and obtaining the licenses, permissions, subscriptions, and lawful playback arrangements required for their intended commercial use.

Personal Spotify subscriptions do not authorize public or commercial business playback.

Clients must use a playback method legally appropriate for their business environment and comply with the applicable service terms and copyright requirements.

Vintaj Seventi does not represent that any particular platform, subscription, or playlist provides sufficient authorization for commercial playback.

The client acknowledges that purchasing music curation does not transfer commercial playback rights.

To the extent permitted by law, the client is responsible for claims, costs, or liabilities arising from the client’s unauthorized use of music, except to the extent caused by Vintaj Seventi’s own wrongful conduct.

13. CLIENT PLAYBACK RESPONSIBILITY

Clients are responsible for operating their own playback systems.

This includes devices, speakers, internet access, streaming accounts, subscriptions, volume settings, playlist accessibility, and appropriate playback permissions.

Vintaj Seventi does not provide equipment installation, live monitoring, or technical support unless separately agreed in writing.

14. CLIENT MODIFICATIONS

Clients may use delivered playlists subject to the applicable platform’s terms and required permissions.

Vintaj Seventi is not responsible for changes in quality, sequencing, content, or atmosphere resulting from modifications made by the client or third parties.

Modified playlists must not be represented as the original, unaltered creative work of The Sound Edit.

15. LIMITATION OF LIABILITY

To the fullest extent permitted by applicable law, Vintaj Seventi is not liable for indirect, incidental, special, consequential, or punitive damages arising from the service or the client’s use of the completed work.

This includes alleged lost profits, lost revenue, business interruptions, customer dissatisfaction, event disruption, and third-party playback failures.

To the fullest extent permitted by law, Vintaj Seventi’s total liability arising from a particular order will not exceed the amount paid for that order.

Nothing in this section excludes liability that cannot legally be excluded.

16. FORCE MAJEURE

Vintaj Seventi is not responsible for delays or inability to perform caused by circumstances beyond its reasonable control.

These may include illness, natural disasters, severe weather, power failures, internet outages, streaming-platform disruptions, government actions, or other extraordinary events.

When reasonably possible, an alternative delivery arrangement or appropriate remedy may be offered.

17. COMMUNICATION AND AUTHORIZED APPROVAL

Clients must provide accurate contact information and monitor communications concerning their orders.

Business clients with multiple representatives must identify an authorized decision-maker when requested.

Delays caused by conflicting instructions, unanswered communications, or inaccurate information may affect delivery.

18. COMPLETE AGREEMENT AND SEVERABILITY

These terms, the selected package description, completed Business Client Form or other applicable creative direction form, checkout acknowledgments, and any separately approved written agreement constitute the agreement governing the purchased service.

Any material modification must be confirmed in writing by Vintaj Seventi.

If any provision is found unenforceable, the remaining provisions will continue to apply to the fullest extent permitted by law.

19. GOVERNING LAW AND DISPUTES

These terms are governed by Texas law, subject to applicable mandatory legal protections.

Unless otherwise required by law, legal proceedings relating to the services will be brought before a court of competent jurisdiction in Harris County, Texas.

Both parties are encouraged to attempt good-faith resolution of disputes through written communication before initiating litigation.
